These Terms and Conditions ("T&C") govern your access to and use of the website, mobile applications, software, and services provided under the platform name Waaris.ai (collectively, the "Services"), operated by Twocents.ai Sdn Bhd ("Company", "we", "us", or "our").

By accessing or using our Services, you agree to comply with and be bound by these T&C. If you do not agree with these T&C, please do not use our Services.

1. Corporate Identity and Platform

1.1 Platform Operation: Waaris.ai is a technology platform owned, operated, and maintained by Twocents.ai Sdn Bhd.

1.2 Scope: These T&C apply to all users, visitors, and registered account holders of the Waaris.ai platform.

2. User Data and Privacy

2.1 Protection of User Data: Twocents.ai Sdn Bhd is committed to safeguarding user data and adheres to applicable data protection laws, including the Personal Data Protection Act 2010 (PDPA) of Malaysia.

2.2 Privacy Policy: Your use of our Services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using our Services, you consent to the practices described in our Privacy Policy.

3. Account Registration and Security

3.1 Account Creation: To access certain features of Waaris.ai, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Security: You must promptly notify us of any unauthorized use of your account or any other security breach. Twocents.ai Sdn Bhd is not liable for any loss or damage arising from your failure to comply with this section.

4. User-Generated Content (Personal and Will Data)

4.1 Ownership and Rights: You retain full ownership and control over all personal, financial, and testamentary information ("User Data") you submit through Waaris.ai, including but not limited to will instructions, asset information, beneficiary details, and related documentation. By submitting such data, you grant Twocents.ai Sdn Bhd a limited, non-exclusive, revocable, worldwide license to store, process, encrypt, and transmit your data solely for the purpose of delivering the Services, improving service reliability, complying with legal obligations, and enabling you to retrieve or modify your will or documents when needed.

4.2 Confidentiality and Security: We treat all User Data as confidential and apply industry-standard encryption and security measures to safeguard your information. Access to your User Data is restricted and only permitted under your explicit authorization, as set out in section 4.4, or where required by law, court order, or regulatory obligation.

4.4 Release to Your Executor: By naming an executor on Waaris.ai, you authorise Twocents.ai Sdn Bhd to release your will and any associated register information to that executor after your death. Before your death, your executor can see that they have been named and that a will exists, but cannot access its contents. We will release your information only after receiving satisfactory proof of death, such as a death certificate issued by the National Registration Department (JPN) of Malaysia or the Immigration & Checkpoints Authority (ICA) of Singapore, or other evidence we reasonably accept, and after verifying the identity of the person requesting release. You may change or remove your named executor at any time while you are alive. If you have not named an executor, or your named executor is unable or unwilling to act, we may release your information to a person who provides evidence of legal authority to deal with your estate, such as a grant of probate, letters of administration, or a distribution order.

5. Legal Services Disclaimer and Execution Requirements

5.1 No Legal Advice: Waaris.ai provides automated tools and document generation platforms for informational and self-help estate planning purposes only. Twocents.ai Sdn Bhd is not a law firm, and our Services do not constitute legal advice or create an attorney-client relationship. It is your responsibility to consult with a qualified legal professional for specific legal guidance.

5.2 Statutory Execution Requirements: You acknowledge that generating or downloading a document on Waaris.ai does not by itself create a legally enforceable will. To be legally valid under applicable laws (such as the Wills Act 1959 of Malaysia or the Wills Act 1838 of Singapore), testamentary documents must satisfy statutory formal requirements, including proper printing, physical execution, and attestation by qualified witnesses.

5.3 Electronic Signatures: Unless explicitly permitted by law, electronic or digital signatures on generated testamentary documents may not fulfill statutory requirements for a valid will in your jurisdiction.

6. Subscriptions, Payments, and Refunds

6.1 Fees: Access to certain features or document generations on Waaris.ai may require payment of fees. All applicable fees will be displayed prior to purchase.

6.2 Payments: Payments are processed via third-party payment providers. By making a payment, you agree to the terms of service of the respective payment gateway.

6.3 Refund Policy: Except as required by applicable law or explicitly stated in writing by Twocents.ai Sdn Bhd, all purchases made on Waaris.ai are final and non-refundable once document generation or processing has commenced.

7. Intellectual Property Rights

7.1 Ownership: All content, software, design, trademarks, logos (including "Waaris.ai"), layout, and underlying algorithms on the platform belong exclusively to Twocents.ai Sdn Bhd or its licensors.

7.2 Limited License: Subject to compliance with these T&C, we grant you a limited, non-exclusive, non-transferable license to access and use Waaris.ai for personal, non-commercial estate planning purposes.

8. User Responsibilities

8.1 By using our Services, you agree to:

  1. Provide accurate, complete, and up-to-date information.
  2. Comply with all applicable laws and regulations.
  3. Refrain from engaging in any illegal, fraudulent, or unauthorized activities on our platform.
  4. Respect the rights and privacy of other users.

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law, Twocents.ai Sdn Bhd, its directors, officers, employees, affiliates, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from:

9.2 Limit of Liability: Where liability cannot be excluded under section 9.1, the total aggregate liability of Twocents.ai Sdn Bhd to you for all claims arising out of or relating to these T&C or the Services shall not exceed the total fees you have paid to us for the Services in the twelve (12) months before the event giving rise to the claim. If you have paid no fees, we shall have no liability to you.

9.3 Nothing in these T&C excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.

10. Governing Law and Jurisdiction

10.1 These T&C shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising under these T&C shall be subject to the exclusive jurisdiction of the courts in Malaysia.

11. International Users and Cross-Border Data Transfers

11.1 If you access Waaris.ai from outside Malaysia, your personal data may be transferred to, stored, and processed in Malaysia or other jurisdictions where our cloud infrastructure providers reside.

11.2 By using our Services, you expressly consent to such data transfers, storage, and processing in accordance with our Privacy Policy and applicable laws.

11.3 We currently host the Services on Google Cloud infrastructure located in Singapore. Google processes this data on our behalf under its cloud data processing terms. We restrict access to authorised personnel and will update this section if our hosting location changes.

12. Modifications to T&C and Termination

12.1 Updates: We reserve the right to update these T&C at any time. Material updates will be communicated through the platform or via email. Continued use of Waaris.ai after changes take effect constitutes acceptance.

12.2 Termination: Twocents.ai Sdn Bhd reserves the right to suspend or terminate your account or access to Waaris.ai at our discretion for any breach of these T&C or applicable laws.

13. Beta Programme

13.1 Free Beta Access: During the beta programme, the Services are provided free of charge to invited users. Section 6 applies only once we introduce paid features, which we will announce before any fee is charged.

13.2 Provided As Is: Beta Services are provided "as is" and "as available". Features may change, be added or be removed, and the Services may contain errors or be unavailable at times. We do not guarantee any level of availability during the beta.

13.3 Ending the Beta: We may end the beta programme or your participation in it. If we end the beta, we will give you at least thirty (30) days' notice by email and the opportunity to export your User Data before it is deleted, unless we are required by law to act sooner.

13.4 Keep Your Original: Storage on Waaris.ai is not a substitute for keeping your signed original will in a safe place. You should keep your executed will safe and let your executor know where to find it.

13.5 Feedback: If you send us feedback or suggestions, we may use them to improve the Services without any obligation to you.
